TERMS AND CONDITIONS FOR AUQUAN MARKETPLACE AGENT

These Terms and Conditions (“Agent Terms”) govern access to and use of the Auquan agent (the “Agent”) published by Auquan Ltd (“Auquan,” “we”) and made available through one or more third-party application marketplaces or stores (each, a “Marketplace”). The Agent is a connector to Auquan’s existing platform and is not a standalone service.

Login Required — No Standalone Access
The Agent may not be used without authenticating to an existing Auquan account. Access to the Agent’s underlying functionality is available only to individuals authorized by a customer that has a valid, active Master Services Agreement or equivalent order form with Auquan (the “MSA”). Installing the Agent from a Marketplace does not,
by itself, grant any right to use Auquan’s platform or services. Full functionality of the Agent is available only to authorized users under a valid MSA. Organizations or individuals wishing to obtain authorized access to the Agent and its full functionality should contact Auquan at sales@auquan.com to enquire about an enterprise agreement.Relationship to the Marketplace Platform
The Agent is distributed through one or more Marketplaces, each operated by its respective operator. Installing or using the Agent through a Marketplace is also governed by that Marketplace operator’s own applicable terms of service, marketplace and app-validation policies, and publisher/developer agreements, independently of these Agent Terms. Auquan is not affiliated with any Marketplace operator, and these Agent Terms are not endorsed or reviewed by any Marketplace operator. Nothing in these Agent Terms limits any obligation a user has under a Marketplace operator’s own terms. Users should review the applicable Marketplace operator’s terms before installing or using the Agent.MSA Controls; Effect on Individual Users
These Agent Terms apply to any person who installs, accesses, or attempts to use the Agent, regardless of whether they successfully authenticate (“Users”). Upon successful authentication, the individual User agrees to comply with these Agent Terms personally, in addition to — and without replacing — that individual’s obligations as an
authorized user under the MSA between Auquan and the Customer (as defined in the MSA) that authorized them. Any person who accesses or uses the Agent without being an authorized user under a valid MSA does so without authorization from Auquan, and such use does not create any contractual relationship with Auquan beyond these
Agent Terms. Use of the underlying Auquan service (the “Service”) (as opposed to the Agent as installable software) remains governed in all respects by that MSA. These Agent Terms do not create, expand, replace, or limit any right, obligation, warranty, data-use term, confidentiality term, or liability allocation set out in the MSA. In the event of any conflict between these Agent Terms and the MSA regarding the underlying Service, the MSA controls.Acceptable Use
Whether or not a person successfully authenticates, no User may: (a) attempt to access the Agent or underlying Service without valid, authorized Auquan credentials; use the Agent or any outputs generated through the Agent, including any outputs generated via any third-party platform, AI back-end, or other means, unless such User is an authorized user under a valid, active MSA; or rely on any such outputs for any business, investment, financial, legal, or other purpose; (b) reverse engineer, decompile, disassemble, or extract the Agent’s source code except as permitted by law; (c) probe, scan, or test the security of the Agent, or attempt to bypass authentication; (d) use the Agent in a manner that violates the authorizing Customer’s MSA; or (e) use the Agent to attempt to access data or accounts the User is not authorized to access.Incidental Use
Due to the manner in which the Agent is distributed through certain third-party Marketplaces and the AI processing capabilities made available by the platforms underlying such Marketplace, it is technically possible for a person to submit limited queries through the Agent and receive responses generated by a third-party AI back-end without
authenticating to an Auquan account or holding rights under an MSA (“Incidental Use”). For the avoidance of doubt: (a) Incidental Use is not authorized by Auquan; (b) any person engaging in Incidental Use does so entirely at their own risk; (c) outputs generated through Incidental Use are not produced, reviewed, validated, or endorsed by
Auquan, and Auquan accepts no responsibility for their accuracy, completeness, or fitness for any purpose; (d) Incidental Use does not grant any right to access Auquan’s platform, data, or proprietary technology; and (e) Auquan expressly disclaims all liability, (whether in contract, tort (including negligence), or otherwise) for any loss,
damage, or harm arising from or in connection with any Incidental Use. Any person who engages in Incidental Use acknowledges that they have no entitlement to support, service levels, data protection commitments, or any other benefit available to authorized users under an MSA, and that Auquan may, at any time and without notice, take
technical or other measures to prevent or restrict Incidental Use.Eligibility; Age and Capacity
By installing or using the Agent, you represent that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and, if you are using the Agent on behalf of an organization, that you have the authority to bind that organization to these Agent Terms.Export Control and Sanctions
You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive trade sanctions administered by the United States, United Kingdom, or European Union, and that you are not listed on any applicable restricted-party, denied-persons, or sanctions list. You agree to comply with all applicable export control and economic sanctions laws in connection with your access to and use of the Agent.Intellectual Property
Auquan retains all right, title, and interest in the Agent and its underlying technology. No rights are granted except the limited right to install and use the Agent in accordance with these Agent Terms and the applicable MSA.Disclaimers
The Agent is provided “as is” as a connector to the service. All warranties, service commitments, and liability terms applicable to the underlying service are governed exclusively by the applicable MSA. Auquan disclaims any warranty not expressly set out in the MSA.
For any person accessing or using the agent without a valid MSA, including any person who obtains any output through the Agent via any third-party platform, AI back-end, or other means, the Agent and any
outputs are provided strictly “as is” and “as available” with no warranties of any kind, express or implied, including as to accuracy, completeness, fitness for purpose, or reliability. Auquan expressly disclaims all liability for any loss or damage arising from any such unauthorized or Incidental Use. Auquan does not review, validate, or take responsibility for any outputs generated through the Agent by or for non-MSA users.Limitation of Liability
To the extent that any liability of Auquan to an authorized user under a valid MSA arises in connection with the Agent (as distinct from the underlying Service), such liability shall be subject to the liability cap and exclusions set out in the applicable MSA, which shall govern and control. Nothing in these Agent Terms creates any additional or
separate liability for Auquan in respect of the Agent beyond what is provided for in the MSA.
To the maximum extent permitted by applicable law, Auquan shall not be liable to any person who accesses or uses the Agent without a valid, active MSA, including any person who engages in Incidental Use, for any: (a) loss of profits; (b) loss of revenue; (c) loss of business or contracts; (d) loss of anticipated savings; (e) loss of data; (f) loss
of goodwill or reputation; or (g) any indirect, special, incidental, consequential, or punitive loss or damage, in each case however arising and whether or not Auquan had been advised of the possibility of such loss or damage.
To the maximum extent permitted by applicable law, Auquan’s total aggregate liability to any person who accesses or uses the Agent without a valid, active MSA, including any person who engages in Incidental Use, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed £100 (one hundred pounds sterling). This cap applies regardless of the number of claims or the form or basis of the claim.
Nothing in these Agent Terms excludes or limits Auquan’s liability for: (a) death or personal injury caused by Auquan’s negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.Indemnification
You agree to indemnify, defend, and hold harmless Auquan and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Agent Terms, including the Acceptable Use provisions in Section 4; (b) your unauthorized access to or use of the Agent or underlying Service, including any Incidental Use; or (c) your violation of applicable law. This obligation is in addition to, and does not replace, any indemnification obligations set out in the applicable MSA.Suspension and Termination
Auquan may suspend or terminate a User’s access to the Agent, in whole or in part, immediately and without notice where reasonably necessary to protect the security or integrity of the Agent or Service, or upon breach of these Agent Terms. Access to the Agent for a given individual will also terminate automatically upon expiration or termination of the underlying MSA between Auquan and the authorizing Customer, or upon that individual ceasing to be an authorized user under that MSA. Auquan may remove the Agent from any Marketplace, or discontinue the Agent, at its discretion, subject to any notice obligations owed to Customers under their MSA.Governing Law and Jurisdiction
Except where a specific MSA between Auquan and a Customer provides otherwise for disputes concerning the underlying Service, these Agent Terms — including disputes concerning the Agent as installable software, or involving a person who has not entered into an MSA — are governed by the laws of England and Wales, and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.Changes
Auquan may update these Agent Terms from time to time, consistent with any notice requirements in the applicable MSA. Changes to the underlying Service’s terms are governed by the MSA, not by updates to this page.Contact
